Standard Conditions of Quotation and Sale

1. GENERAL – (a) All quotations are made or accepted on condition of and on the express understanding that the allowing terms and conditions shall be binding and applicable in relation to the works which are subject to this quotation unless alterations are expressly agreed to in writing by APM Projects (hereinafter referred to as APM)
(b) Acceptance of this quotation or the placing of an order shall have the effect of automatically incorporation these said terms and conditions as part of the overall contract agreement governing the Works.
(c) Unless previously withdrawn by APM this quotation will remain open for acceptance for a period of one calendar month from date hereof and will lapse if not accepted within that period.
(d) “Client”, when used in these general conditions shall be deemed to mean the person, firm, company or other organization for whom we are carrying out the work.

2. UNLESS otherwise stated, all quotations are subject to rise and fall.

3. TERM OF PAYMENT – (a) Unless otherwise arranged, a deposit of 30% of the original quotation price is to be paid prior to the commencement of the works.
(b) Progress invoices wall be raised during the course of the works, on delivery of materials and (where applicable) thereafter not less than fortnightly until completion.
(c) All invoices are payable net cash within fourteen days of our invoice.
(d) The client hereby acknowledges that ownership in all the materials supplied, delivered and erected APM pursuant to this quotation shall not pass to the client and shall remain vested in APM until such time as APM receives complete payment in respect of such materials and works.

4. The following additional conditions shall be binding in respect of this quotation, namely: (a)The work to be undertaken by the company pursuant to this quotation shall be continuous in nature provided that where the company is delayed from attending to and or completing the works for some reason other that its own default or omission any costs associated with such delay shall be borne by and charged to the client and shall constitute an upward variation to the original quotation price.
(b)This quotation allows work to be carried out during normal working weekday hours. Any additional costs resulting from the clients direction to work out site these hours, unless such direction arises from default of APM, shall be charged as a variation. Any costs incurred as a result of variations from those quoted due to site plans varying from information supplied by others, verbal or by drawing; or site conditions carrying from those advised or existing at the time of previous inspections, will be charged to the clients account.

5. SUB_CONTRACTORS – (a) APM. shall be at liberty to sub-contract any part or aspect of the works to any sub-contractor which it may nominate provided that where it shall exercise this aforesaid entitlement it shall specify the sub-contractor nominated and the nature of the work to be performed by such subcontractor.
(b) The client hereby acknowledges that any subcontractor retained pursuant to the previous subclause shall not under any circumstances be deemed to be acting as an employee or agent of APM.
